These Terms and Conditions ("Terms") govern access to and use of the Dagsis AI platform, website at dagsis.ai, AI agents, website chat widgets, messaging channel integrations, knowledge base functionality, and related services (collectively, the "Services") provided by:

DAGSIS AI PTE. LTD.

Company Registration (UEN): 202641491D

("DAGSIS", "we", "us", or "our")

By creating an account, accessing the Dagsis platform, purchasing or using a subscription, connecting communication channels, or otherwise using the Services, you agree to be bound by these Terms.

If you are using Dagsis on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to accept these Terms on behalf of that entity. If you do not agree to these Terms, you must not access or use the Services.

2. About Dagsis Services

Dagsis is a business-to-business (B2B) software-as-a-service platform that enables businesses to create, configure, manage, and deploy AI-powered conversational agents. Depending on the features available under a client's account or subscription, Dagsis may enable clients to:

  • Create, train, and configure custom AI agents with distinct names, roles, instructions, and tones;
  • Create and manage organisation workspaces, projects, and role-based team permissions;
  • Upload documents (PDFs, Word documents, text) and ingest website content for AI knowledge bases;
  • Deploy AI agents through embeddable website chat widgets and popups;
  • Connect supported third-party messaging channels (including WhatsApp Business, Facebook Messenger, Instagram Direct Messages, Telegram, and Discord);
  • Manage, review, search, and export multi-channel conversation transcripts and customer leads;
  • Review platform analytics, token usage, and agent performance activity; and
  • Access other tools and APIs made available by Dagsis from time to time.

3. Eligibility

The Dagsis platform is intended for professional, commercial, and enterprise use. You must be at least 16 years old (or the legal age of majority in your jurisdiction) and legally capable of entering into a binding agreement to create or operate a Dagsis account.

4. Account Registration & Security

Certain Services require you to create a Dagsis account. When registering, you agree to:

  • Provide accurate, complete, and current information;
  • Maintain and update your account details where necessary;
  • Use a valid business email address;
  • Keep your account credentials, passwords, and API keys strictly confidential;
  • Not share login credentials with unauthorized individuals; and
  • Notify Dagsis promptly at support@dagsis.ai if you suspect unauthorized access to or compromise of your account.

You remain responsible for activities carried out through your account, except where such activity results directly from a security failure attributable to Dagsis.

5. Single Sign-On (SSO)

Dagsis may allow users to register or sign in using supported third-party identity providers, including Google Single Sign-On. Your use of a third-party sign-in service is also subject to the applicable provider's terms and policies. Dagsis does not receive or store your Google account password.

6. Organisations, Workspaces & Team Members

Dagsis may allow a business to create organisation workspaces and invite team members. Users may be assigned roles such as:

Owner: Complete workspace control, billing management, deletion.
Admin: User management, agent creation, integration configuration.
Editor: Agent editing, knowledge base uploads, prompt adjustments.
Viewer: Read-only access to analytics, conversations, and agent previews.

The organisation owner and administrators are responsible for managing member invitations, maintaining appropriate access privileges, and removing access when a team member departs.

7. AI Agents & Autonomous Operations

Clients create, configure, and operate AI agents using Dagsis. Clients are solely responsible for setting their agents' instructions, operational boundaries, tone, role, knowledge sources, and integration behaviors. AI-generated responses are produced automatically using machine learning models, retrieval-augmented generation (RAG), and client-provided knowledge.

7.1 AI Output Disclaimer & Human-in-the-Loop

Artificial intelligence systems may occasionally produce responses that are inaccurate, incomplete, outdated, misleading, or unexpected (often referred to as "hallucinations"). Clients understand and agree that:

  • Dagsis does not warrant that every AI response will be factually correct, complete, or error-free;
  • AI agents do not constitute licensed legal, medical, financial, tax, or regulatory professional advice;
  • Clients must review AI agent behavior and maintain appropriate human oversight and escalation channels where conversations impact commercial commitments, legal liability, or sensitive customer operations.

8. Knowledge Bases & Private Indexing

Clients may upload proprietary documents or submit website URLs to inform their AI agents' responses. By submitting content, you confirm that you own or possess the necessary rights and authority to use and index that content, and that processing does not violate applicable intellectual property or privacy laws.

Non-Training Commitment: Dagsis strictly does NOT use client knowledge base documents or proprietary customer conversations to train general public foundation models or make that information accessible to other clients.

9. Client Content & Intellectual Property

Clients retain all ownership, rights, and title to documents, instructions, brand assets, and customer information submitted to Dagsis ("Client Content").

You grant Dagsis a limited, non-exclusive, revocable license to host, store, index, vector-embed, transmit, and process Client Content solely as necessary to operate, maintain, and secure the Services for your organisation.

10. Dagsis Intellectual Property

Dagsis and its licensors retain all rights, title, and intellectual property in the Dagsis platform, source code, user interfaces, documentation, APIs, widget architecture, and proprietary algorithms. Clients may not copy, reverse engineer, resell, or distribute Dagsis technology without explicit written agreement.

11. Website Chat Widget

Where you embed the Dagsis chat widget on your websites or applications, you are solely responsible for providing transparent privacy notices and obtaining any required cookies or data collection consents from your website visitors under applicable local laws.

12. Messaging Channel Integrations & Third-Party Networks

Dagsis enables clients to connect external communication platforms, including WhatsApp Business (Meta Cloud API), Facebook Messenger, Instagram Direct Messages, Telegram, and Discord.

These integrations rely on third-party APIs beyond Dagsis's direct control. Clients must maintain active accounts and satisfy all policies established by the respective platform providers.

Meta Platform & WhatsApp Business Policy Compliance

For any integrations involving Meta platforms (including WhatsApp Business, Facebook Pages, and Instagram), clients expressly agree to comply with:

  • The WhatsApp Business Messaging Policy and WhatsApp Commerce Policy;
  • The Meta Commercial Terms and Developer Policies;
  • Opt-In Consent Requirement: You must obtain clear, prior, and verifiable opt-in consent from recipients before sending outbound proactive or template messages on WhatsApp;
  • Prohibited Categories: You will not use Dagsis messaging integrations to distribute spam, unlawful gambling, counterfeit goods, predatory financial products, or restricted substances;
  • Tech Provider Authorization: Where you complete Meta Embedded Signup, you authorize Dagsis to act as a WhatsApp Tech Provider to manage WhatsApp Business Account (WABA) assets, register phone numbers, and configure webhooks on your behalf.

13. Channel Disconnection & Data Deletion Callback

Clients may disconnect connected messaging channels at any time via their Dagsis workspace integration dashboard:

  • Upon disconnection, Dagsis immediately ceases processing incoming and outbound messages for that channel;
  • Associated platform access tokens, webhooks, and channel credentials are electronically purged;
  • User Data Deletion Callback: End users or business clients who wish to request complete erasure of conversation records associated with their WhatsApp or social profile may submit a request to support@dagsis.ai or trigger the account deletion workflow in their profile. Requests are handled within the timeframe specified under Singapore PDPA and GDPR.

14. Acceptable Use Policy

You agree not to misuse the Dagsis platform. You must not:

  • Transmit unlawful, defamatory, harassing, abusive, fraudulent, or harmful materials;
  • Infringe third-party intellectual property, privacy, or proprietary rights;
  • Attempt to breach, probe, scan, or compromise platform authentication or security defenses;
  • Reverse engineer or decompile any part of the Dagsis platform or APIs;
  • Send bulk unsolicited commercial messages ("spam") violating applicable anti-spam legislation;
  • Introduce malware, viruses, worms, or malicious scripts into the Services.

15. Client Responsibility for End Users

Where you deploy a Dagsis AI agent to interact with your end users, customers, or website visitors, you remain solely responsible for the relationship, agreements, and communications with those individuals. Dagsis operates as a technology provider and does not enter into a direct contractual relationship with your end users.

16. Privacy & Data Protection

Our collection and processing of personal data is governed by our Privacy Policy.

Under the Singapore Personal Data Protection Act 2012 (PDPA) and the EU/UK GDPR, Dagsis operates as a Data Intermediary / Processor when processing conversation data and documents on behalf of our clients, and as a Data Controller for client billing, registration, and account management data.

17. Platform Security

Dagsis maintains enterprise-grade administrative, technical, and physical safeguards designed to preserve data integrity and security, including:

  • AES-256-GCM encryption for stored knowledge base documents and credentials;
  • End-to-end transport layer security (HTTPS / TLS 1.3);
  • Bcrypt cryptographic password hashing;
  • Secure HttpOnly authentication tokens;
  • Granular role-based access controls and administrative two-factor authentication (2FA).

18. Subscription Plans, Credits & Fees

Dagsis offers multiple subscription tiers (including Free, Pro, Business, and Custom enterprise tiers). Pricing, billing frequencies (monthly or annual), included message quotas, agent limits, and add-on costs are specified at checkout and within your workspace billing dashboard.

Paid subscriptions renew automatically at the conclusion of each billing period unless a plan downgrade to the Free Plan is scheduled prior to the renewal date.

19. Payment Processing

Payments are handled by PCI-DSS compliant third-party payment gateways. Dagsis does not store full credit or debit card numbers on its servers. Clients must maintain an active, valid payment method.

20. Plan Downgrades, Modifications & Refunds

Rather than abrupt account suspension, Dagsis operates on a flexible Plan Downgrade model. Clients on any paid tier may modify or schedule a downgrade of their subscription at any time:

  • Downgrading to a Lower or Free Plan: Clients may schedule a plan downgrade (e.g. from Business to Pro, or from Pro to the Free Plan) directly through the workspace billing settings or by notifying support@dagsis.ai.
  • Prepaid Cycle Continuation: When a downgrade is scheduled, it takes effect at the end of the client's current prepaid billing cycle. The client retains full access to their paid tier limits, features, and active agents until that cycle concludes.
  • Automatic Transition & Quotas: At the start of the subsequent cycle, the account automatically transitions to the selected lower tier or Free Plan, and further recurring payments cease. Limits of the new tier (such as active agent count, monthly conversation volumes, or knowledge base size) will apply. If existing assets exceed the new tier limits, active agents or channels may be paused until adjusted, while your data and workspace remain intact.
  • Refund Policy: All subscription charges are non-refundable. Dagsis does not issue credits, pro-rated refunds, or partial cash returns for unused capacity, unused message tokens, or early downgrades during an active billing cycle, except where mandated by applicable consumer protection laws.
  • Complete Account Deletion: Downgrading to the Free Plan does not delete your workspace or historical customer leads. If you wish to permanently delete your entire Dagsis account, knowledge bases, and user data, you may initiate permanent account deletion under Section 28.

21. Suspension & Termination

Dagsis may suspend or terminate account access if:

  • You materially breach these Terms or our Acceptable Use Policy;
  • Subscription fees remain past due after notification;
  • Your account introduces security risks or fraudulent activities;
  • A third-party platform (such as Meta) suspends or revokes required API permissions.

22. Service Availability & Updates

We target high platform availability but do not guarantee 100% uninterrupted operation. Maintenance windows, upstream cloud provider outages, or network interruptions may occur. Dagsis continuously enhances the platform and reserves the right to modify or deprecate features with reasonable notice where feasible.

23. Third-Party Services & Subprocessors

Dagsis integrates with trusted cloud infrastructure providers (e.g. AWS, Supabase, OpenAI, Anthropic, Meta). Dagsis is not responsible for upstream outages, policy changes, or service interruptions caused directly by external providers.

24. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

25. Limitation of Liability

To the maximum extent permitted under applicable law, in no event shall DAGSIS AI PTE. LTD., its directors, employees, or partners be liable for indirect, incidental, punitive, or consequential damages (including loss of revenue, profits, business opportunity, or data).

Dagsis's total aggregate liability arising out of or related to these Terms shall not exceed the amounts paid by the client to Dagsis in the twelve (12) months preceding the incident.

26. Indemnification

Clients agree to defend and hold harmless DAGSIS AI PTE. LTD. against claims, damages, liabilities, and expenses arising from Client Content, client violation of third-party policies (including WhatsApp/Meta policies), or breach of applicable data protection laws.

27. Confidentiality

Both parties agree to safeguard each other's proprietary and confidential information with reasonable care and use it strictly for performing rights and obligations under these Terms.

28. Data Export & Account Closure

Before closing an account, clients are encouraged to export their conversation logs and knowledge base assets using dashboard export tools or by contacting support@dagsis.ai. Account deletion initiates permanent data removal procedures as described in our Privacy Policy.

29. Changes to These Terms

Dagsis may update these Terms periodically to reflect platform enhancements, legal requirements, or partner platform policies. Continued use of the Services following an update constitutes acceptance of revised terms.

30. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Singapore.

31. General Terms

If any provision of these Terms is deemed invalid, remaining provisions continue in full force. Failure to enforce a provision does not waive any right. These Terms and our Privacy Policy constitute the entire agreement between you and Dagsis.
